(TSXV: BUZH.P) (“Buzz2<\/b>” or the “Corporation<\/b>“), a capital pool company (“CPC<\/b>“) pursuant to Policy 2.4\u00a0\u2013\u00a0Capital Pool Companies<\/i> of the TSX Venture Exchange (the “TSXV<\/b>“), announces that the previously announced stock option plan (the “Plan<\/b>“) was approved by the Corporation’s shareholders at Buzz2’s annual and special shareholders’ meeting.<\/p>\n
Grant of Stock Options<\/b><\/u><\/p>\n
The Corporation also announces that its board of directors has approved the grant of an aggregate of 1,030,000 stock options (the “Options<\/b>“) to its directors. The Options are to purchase up to an aggregate of 1,030,000 common shares of the Corporation at an exercise price of $0.05 per share until July 3, 2035, subject to any earlier termination in accordance with the Plan. All Options vested immediately on the date of grant.<\/p>\n
The grant of Options to the directors constitutes a related party transaction pursuant to Multilateral Instrument 61-101\u00a0\u2013\u00a0Protection of Minority Security Holders in Special Transactions<\/i> (“MI 61-101<\/b>“). The Company is exempt from the requirements to obtain a formal valuation and minority shareholder approval in connection with the grant of Options to related parties in reliance on the exemptions contained in sections 5.5(b) and 5.7(1)(a) of MI 61-101, respectively.<\/p>\n

Buzz2 was incorporated under the Canada Business Corporations Act<\/i> on May 8, 2018 and is a CPC (as defined in the policies of the TSXV) listed on the TSXV.
