Toronto, Ontario–(Newsfile Corp. – March 16, 2026) – Deveron Corp. (TSXV: FARM.H) (“Deveron<\/b>” or the “Company<\/b>“) is pleased to announce that its board of directors has declared a special dividend (the “Special Dividend<\/b>“) of CAD$0.0042 per common share. The Special Divided was approved by the shareholders at the special meeting held on December 30, 2025.<\/p>\n

The dividend will be paid to shareholders of record as at March 23, 2026, and the dividend will be paid to shareholders on or about March 30, 2026. The Special Dividend will be treated as a return of capital in accordance with the Income Tax Act<\/i> (Canada).<\/p>\n

Further to the Company’s press releases of November 3, 2025, December 19, 2025, December 30, 2025 and February 13, 2026, the Company was to distribute an aggregate of US$1,000,000 to the shareholders of the Company, as a return of capital. The Company received the US$1,000,000 as partial consideration for the sale of substantially all of its assets (the “Transaction<\/b>“) in accordance with a share and asset purchase agreement (the “Purchase Agreement<\/b>“) with RRL Ultimate Parent, LLC (“Parent<\/b>“), 1001388516 Ontario Inc. (“BidCo<\/b>” and together with Parent, the “Share Purchasers<\/b>“), Maple NewCo, LLC (the “US Buyer<\/b>” and together with the Share Purchasers, the “Purchasers<\/b>“), Deveron USA, LLC (“Deveron USA<\/b>“), Woods End Laboratories, LLC (“Woods End<\/b>“, and together with Deveron USA, the “Asset Vendors<\/b>” and together with the Company, the “Vendors<\/b>“), and certain minority vendors (collectively, the “Minority Vendors<\/b>“). Due to the difference from the estimated cash position on the closing of the Transaction, customary working capital adjustments and foreign exchange fluctuations, the Company will be distributing CAD$896,513.17 to its shareholders.<\/p>\n
