A massive consolidation play is shaking up India’s fast-growing smart metering and digital power distribution landscape. Infrastructure giants Adani Group and GMR Group have emerged as the leading contenders in the final phase of the sale process for IntelliSmart Infrastructure Private Limited.

The proposed transaction, carrying an estimated equity valuation of nearly ₹3,800 crore ($400 million), stands as one of the largest deals in India’s power distribution and smart energy ecosystem, fueled heavily by aggressive government-backed electricity reforms.

Binding Bids Expected by Mid-June 2026

The sale process has entered its definitive final stage. Industry frontrunners Adani Energy Solutions and GMR Smart Electricity Distribution are actively conducting due diligence alongside other highly competitive international and domestic shortlisted entities.

What is IntelliSmart Infrastructure?

Established in 2019, IntelliSmart Infrastructure was created to spearhead the implementation of smart electricity meters and digital power distribution solutions across various Indian states.

The company operates under a joint-venture ownership structure:

  • National Investment and Infrastructure Fund (NIIF): Holds a majority 51 percent stake.

  • Energy Efficiency Services Limited (EESL): Owns the remaining 49 percent stake.

The strategic divestment allows the current stakeholders to unlock capital while handing over a fully operational asset pipeline to a specialized infrastructure operator capable of deploying massive capital at scale.

A Secured Order Book of 22 Million Smart Meters

Unlike newer concessionaires starting from scratch, IntelliSmart brings concrete, on-the-ground implementation experience, having already successfully installed approximately 600,000 meters in Assam and nearly 500,000 units in Uttar Pradesh.

GMR Group has been rapidly scaling up its smart electricity distribution arm, most notably securing massive contracts worth ₹7,593 crore in Uttar Pradesh alone to replace 7.6 million conventional meters. Acquiring IntelliSmart would instantly escalate GMR from a robust regional player to a formidable national competitor.
